1. Introduction and Acceptance of Terms

Welcome to Studenthaus, a subscription-based student housing market intelligence service operated by Studenthaus Inc. ("Studenthaus," "Company," "we," "us," or "our"), a corporation incorporated under the laws of Canada.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Studenthaus Inc. governing your access to and use of our website, mobile application, and any other digital platforms we operate (collectively, the "Platform"), including all content, features, data, dashboards, reports, and services available through the Platform (collectively, the "Services").

By accessing or using the Platform, creating an account, or purchasing a subscription, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time in accordance with Section 14 below. Your continued use of the Platform following any modifications constitutes acceptance of the revised Terms.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use the Platform and create an account, you must:

  • Be at least eighteen (18) years of age;
  • Have the legal capacity to enter into binding contracts;
  • Not be prohibited from using the Services under applicable Canadian law or any other jurisdiction;
  • Provide accurate, current, and complete registration information;
  • Be acting on behalf of yourself or have proper authorization to bind the organization you represent.

2.2 Account Registration

To access certain features of the Platform, including subscription-based dashboards and data exports, you must register for an account. When registering, you agree to:

  • Provide truthful, accurate, and complete information;
  • Maintain and promptly update your account information;
  • Keep your login credentials confidential and secure;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately of any unauthorized use of your account or any other security breach.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree not to share your login information with any third party. Studenthaus reserves the right to suspend or terminate accounts where credential sharing is suspected or confirmed.

2.4 Organizational Accounts

If you are registering on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to both you individually and the entity you represent.

3. Description of Services

3.1 Platform Overview

Studenthaus provides a software-as-a-service (SaaS) intelligence platform offering:

  • Access to student housing market data across multiple Canadian cities;
  • Interactive dashboards with filtering capabilities by demographics, city, and various dimensions;
  • Aggregated market insights and data points;
  • Data export functionality;
  • Downloadable research reports;
  • Both free-tier and paid subscription access levels.

3.2 Data Sources

The data, insights, and analytics available through the Platform are derived from proprietary research, surveys, and data collection activities conducted by Studenthaus. All data represents aggregated, anonymized information that cannot be used to identify specific individuals.

3.3 Service Availability

While we strive to maintain continuous availability of the Platform, we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

4. Subscription Plans and Billing

4.1 Subscription Tiers

The Platform offers multiple subscription tiers, including free and paid options. Details of current subscription plans, features, and pricing are available on the Platform. Free-tier access may be limited in scope, functionality, or data availability compared to paid subscriptions.

4.2 Pricing and Currency

All subscription fees are quoted and payable in Canadian Dollars (CAD$) unless otherwise specified. Prices are exclusive of applicable taxes, which will be added where required by law.

4.3 Billing Cycles

Paid subscriptions are available on monthly or annual billing cycles. Subscription fees are billed in advance at the beginning of each billing cycle.

4.4 Automatic Renewal

All paid subscriptions automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date. You authorize us to charge your designated payment method for recurring subscription fees until you cancel.

4.5 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting us at julian@studenthousinginitiative.com. Cancellation will take effect at the end of your current billing cycle. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period;
  • No partial refunds will be issued for unused portions of a billing cycle;
  • Your account will revert to free-tier access, if available, at the end of the paid period.

4.6 Refund Policy

Subscription fees are generally non-refundable. Refund requests may be considered on a case-by-case basis at our sole discretion. To request a refund, contact us at julian@studenthousinginitiative.com within fourteen (14) days of the charge.

4.7 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will not affect your current billing cycle but will apply to subsequent renewal periods. We will provide at least thirty (30) days' notice of any price increases via email to your registered account.

4.8 Failed Payments

If a payment fails, we may suspend your access to paid features until payment is successfully processed. We reserve the right to terminate accounts with persistent payment failures.

5. Acceptable Use Policy

5.1 Permitted Use

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Services solely for your internal business purposes in accordance with your subscription level.

5.2 Prohibited Activities

You agree NOT to engage in any of the following activities:

Data Misuse:

  • Scraping, crawling, harvesting, or using any automated means to extract data from the Platform;
  • Downloading, copying, or storing Platform data beyond the export functionality provided within your subscription tier;
  • Reselling, redistributing, sublicensing, or commercially exploiting any data, reports, or content obtained from the Platform;
  • Using Platform data or content to train, develop, or improve any artificial intelligence, machine learning models, or similar technologies without express written authorization from Studenthaus;
  • Creating derivative datasets or products from Platform data for distribution or sale;

Account Violations:

  • Sharing your account credentials with any third party;
  • Allowing multiple individuals to use a single account simultaneously;
  • Creating multiple accounts to circumvent subscription limitations;
  • Accessing the Platform using another user's account without authorization;

Technical Violations:

  • Attempting to gain unauthorized access to any portion of the Platform, other accounts, or systems;
  • Interfering with or disrupting the Platform's servers, networks, or infrastructure;
  • Circumventing, disabling, or interfering with security features of the Platform;
  • Reverse engineering, decompiling, or disassembling any aspect of the Platform;
  • Introducing viruses, malware, or other harmful code;

General Prohibitions:

  • Using the Platform for any unlawful purpose or in violation of any applicable laws;
  • Misrepresenting your identity or affiliation;
  • Infringing upon the intellectual property rights of Studenthaus or any third party;
  • Engaging in any activity that could damage, disable, or impair the Platform.

5.3 Enforcement

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, forfeiture of any fees paid, and potential legal action.

6. Intellectual Property Rights

6.1 Studenthaus Ownership

Studenthaus owns and retains all right, title, and interest in and to:

  • The Platform, including all software, code, design, and architecture;
  • All data, datasets, insights, analytics, and reports available through the Platform;
  • All aggregated and derived information created from our research activities;
  • All trademarks, service marks, logos, and trade names associated with Studenthaus;
  • All content, text, graphics, images, and other materials on the Platform;
  • All methodologies, processes, and know-how used in creating our data products.

6.2 Reservation of Rights

Except for the limited license granted in Section 5.1, no right, title, or interest in any intellectual property is transferred to you. All rights not expressly granted herein are reserved by Studenthaus.

6.3 Feedback

If you provide any suggestions, feedback, or ideas regarding the Platform ("Feedback"), you hereby assign to Studenthaus all right, title, and interest in such Feedback, and we may use and incorporate such Feedback without any obligation to you.

6.4 Data Commercialization

You acknowledge and agree that Studenthaus may commercialize, license, sell, and otherwise exploit the data, insights, and analytics available on the Platform, provided that such activities do not identify specific individuals. This includes creating derivative products, predictive models, artificial personas, and aggregated market insights.

7. User License and Restrictions

7.1 Grant of License

Subject to your compliance with these Terms and payment of applicable subscription fees, Studenthaus grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Platform in accordance with your subscription tier;
  • View, download, and export data within the limits of your subscription;
  • Use downloaded reports and exports solely for your internal business purposes.

7.2 License Restrictions

This license does NOT permit you to:

  • Use Platform data or content for any purpose other than your internal business analysis;
  • Share, distribute, publish, or disclose Platform data to third parties;
  • Use Platform data in any public-facing materials without written consent;
  • Create products or services that compete with Studenthaus using Platform data;
  • Transfer or assign your license or account to any third party.

7.3 Internal Business Use

"Internal business purposes" means use by you and your employees or contractors who have a need to access such information in connection with your legitimate business activities, provided that such individuals are bound by confidentiality obligations at least as protective as these Terms.

8. Data Accuracy and Disclaimers

8.1 Informational Purposes Only

The data, insights, reports, and all other information available through the Platform are provided for general informational and educational purposes only. This information does not constitute professional advice of any kind, including but not limited to investment advice, real estate advice, legal advice, or financial advice.

8.2 No Warranty of Accuracy

While we strive to provide accurate and current information, Studenthaus makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, suitability, or availability of any data, insights, or information provided through the Platform.

8.3 Reliance Disclaimer

Any reliance you place on Platform data or information is strictly at your own risk. You should independently verify any information before making business decisions. Studenthaus shall not be liable for any decisions made or actions taken based on Platform information.

8.4 No Professional Advice

The Platform is not intended to provide, and should not be construed as providing:

  • Investment or financial advice;
  • Real estate development or acquisition advice;
  • Legal, tax, or accounting advice;
  • Professional consulting services.

Users requiring professional advice should consult qualified professionals in the relevant field.

8.5 Market Conditions

Student housing markets are subject to rapid change. Data on the Platform reflects historical research and may not accurately predict future market conditions, trends, or outcomes.

9. Limitation of Liability

9.1 Disclaimer of Warranties

The Platform and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

9.2 Limitation of Damages

To the maximum extent permitted by applicable law, in no event shall Studenthaus, its directors, officers, employees, agents, affiliates, or licensors be liable for:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages;
  • Any loss of profits, revenue, data, goodwill, or business opportunities;
  • Any damages arising from your use of or inability to use the Platform;
  • Any damages resulting from unauthorized access to or alteration of your data;
  • Any damages arising from reliance on Platform data or information;
  • Any damages exceeding the total subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.

9.3 Liability Cap

Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the lesser of: (a) the total subscription fees actually paid by you in the twelve (12) months preceding the claim, or (b) one thousand Canadian dollars (CAD $1,000).

9.4 Essential Purpose

The limitations of liability in this Section shall apply even if any limited remedy fails of its essential purpose and regardless of whether Studenthaus has been advised of the possibility of such damages.

9.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

10.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Studenthaus Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform or Services;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any third-party rights, including intellectual property rights;
  • Any data or content you submit, post, or transmit through the Platform;
  • Your negligence or willful misconduct;
  • Any unauthorized use of your account.

10.2 Indemnification Procedure

Studenthaus reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with our defense of any such claim.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through your account settings;
  • Contacting us at julian@studenthousinginitiative.com with a termination request.

11.2 Termination by Studenthaus

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including but not limited to:

  • Violation of these Terms or the Acceptable Use Policy;
  • Non-payment of subscription fees;
  • Fraudulent, abusive, or illegal activity;
  • Extended periods of inactivity;
  • Upon request by law enforcement or government agencies;
  • Discontinuation of the Platform or Services.

11.3 Effect of Termination

Upon termination:

  • Your right to access the Platform immediately ceases;
  • All licenses granted to you under these Terms terminate;
  • You remain liable for all fees accrued prior to termination;
  • Sections 6, 8, 9, 10, 12, 13, and 15 shall survive termination;
  • We may delete your account data in accordance with our Privacy Policy.

11.4 No Refund Upon Termination for Cause

If we terminate your account for violation of these Terms, you will not be entitled to any refund of subscription fees paid.

12. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is available on our Platform. By using the Platform, you consent to the practices described in our Privacy Policy.

13. Dispute Resolution

13.1 Governing Law

These Terms and any disputes arising out of or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Jurisdiction and Venue

You irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any disputes arising out of or relating to these Terms or your use of the Platform. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

13.3 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Studenthaus.

13.4 Time Limitation

Any claim arising out of or relating to these Terms or your use of the Platform must be filed within one (1) year after the cause of action arose, or such claim shall be permanently barred.

14. Modifications to Terms

14.1 Right to Modify

Studenthaus reserves the right to modify, amend, or update these Terms at any time at our sole discretion.

14.2 Notice of Changes

We will notify you of material changes to these Terms by:

  • Posting the updated Terms on the Platform with a new "Last Updated" date;
  • Sending an email notification to the address associated with your account;
  • Displaying a prominent notice on the Platform.

14.3 Acceptance of Changes

Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreements, constitute the entire agreement between you and Studenthaus regarding the Platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

The failure of Studenthaus to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Studenthaus.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Studenthaus may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

15.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Studenthaus.

15.6 Force Majeure

Studenthaus shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.7 Headings

The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

15.8 Language

These Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
